These Terms of Service ("Terms") govern your access to and use of the Synapse website, web application, and related services (collectively, the "Service") provided by Individual Entrepreneur Mikhail Molchanov, registered in Georgia at III Micro/District, Building 80, Entrance 1, Floor 2, Apartment N4, Gldani, Tbilisi 0167, Georgia ("Synapse", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. The Service
Synapse is a software-as-a-service platform that transcribes audio and video recordings, performs speaker diarization, and generates derivative content (articles, summaries, social posts, meeting briefs) using third-party AI models. The Service is delivered entirely via the web at susha.space.
2. Eligibility and Account
You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information during registration.
3. Subscriptions and Billing
Paid plans are offered on a monthly recurring subscription basis. Payment is processed by our payment provider Paddle.com Market Limited, acting as the Merchant of Record. By subscribing, you authorise Paddle to charge your chosen payment method at the beginning of each billing cycle until you cancel.
You can cancel at any time from your account billing portal; cancellation takes effect at the end of the current paid period, and your access continues until that date. Refunds are governed by our Refund Policy, which includes a 14-day money-back guarantee on the first payment of any paid plan.
Prices, quotas, and plan features are displayed on the pricing page and may change with at least 30 days' notice for existing subscribers.
4. Your Content
You retain all rights to the audio, video, and text you upload to or generate through the Service ("Your Content"). You grant Synapse a limited, worldwide, royalty-free licence to store, process, and transmit Your Content solely for the purpose of operating and improving the Service.
You represent and warrant that you have all necessary rights and permissions (including speaker consent where required by law) to upload and process any content you submit.
5. Acceptable Use
You agree not to use the Service to:
- Process content for which you do not have legal rights or required consents;
- Upload unlawful, defamatory, harassing, or infringing content;
- Attempt to reverse-engineer, scrape, or disrupt the Service;
- Resell or redistribute the Service without written permission;
- Circumvent usage limits, quotas, or access controls.
We may suspend or terminate your account for violations without refund.
6. Third-Party Sub-processors
To deliver the Service, Synapse relies on the following sub-processors, each under their own terms and security practices:
- AssemblyAI — automated speech recognition and diarization;
- Kie AI / Google Gemini — large language model inference for content generation;
- Paddle.com Market Limited — payment processing and Merchant of Record;
- Infrastructure providers for hosting and email delivery.
7. Intellectual Property
All rights in the Service, including its software, design, and branding, are owned by Synapse or its licensors. These Terms do not grant you any right in Synapse's intellectual property other than the limited right to use the Service as intended.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available", without warranties of any kind, express or implied. Transcription accuracy depends on audio quality, language, accent, and other factors, and may contain errors. AI-generated content may be incomplete, inaccurate, or biased — you are responsible for reviewing it before use.
9. Limitation of Liability
To the maximum extent permitted by law, Synapse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total aggregate liability is limited to the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim.
10. Termination
You may terminate your account at any time by cancelling your subscription and deleting your account from the billing portal. We may terminate or suspend your access at any time for breach of these Terms or for extended inactivity.
11. Changes to the Terms
We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of Georgia (country). Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia, unless mandatory consumer protection law of your country of residence provides otherwise.
